1. Definitions
In these Terms & Conditions:
“Application” means the mobile application operated under the trademark “HAROCT” or any other trademark owned or controlled by Haroct Technologies Singapore Pte. Ltd.
“Company” or “Haroct” means HAROCT TECHNOLOGIES SINGAPORE PTE. LTD., incorporated under the laws of the Republic of Singapore.
“Products” means any goods listed for sale on the Website or Application, including but not limited to meat, fruits, vegetables, preserved food, dried food, ingredients, seasoning, and related food or agricultural products.
“Services” means the digital marketplace services, transaction facilitation, payment integration, logistics coordination, and related services provided through the Website and Application.
“User” or “Users” means any individual or legal entity accessing or using the Website, Application, or Services.
“Website” means www.haroct.sg or any domain operated by Haroct Technologies Singapore Pte. Ltd.
2. Nature of Platform
Haroct operates a B2B digital marketplace facilitating transactions between buyers and sellers of food and agricultural products.
Haroct acts as a technology platform and facilitator only, unless expressly stated otherwise. Haroct does not take ownership of Products unless specifically agreed in writing.
3. Eligibility
Users must:

Have legal capacity to enter into binding contracts

Provide accurate and complete information

Pass identity verification where required
Business Users must be legally registered entities.
4. Account Registration & Verification
Haroct may require identity verification (KYC) in compliance with applicable Singapore laws and payment gateway requirements.

Submit supporting documents when requested

Update account information when changes occur
Haroct reserves the right to suspend or terminate accounts that fail compliance checks.
5. Membership & Account Responsibility
Users are responsible for safeguarding login credentials.
All activities conducted through an account shall be deemed authorised by the account holder.
Business accounts warrant that:

Registration falls within their registered business scope

The account is not transferable without Haroct’s consent
6. Services & Fees
Browsing and account registration may be free of charge.
Haroct may impose:
All fees will be disclosed prior to transaction confirmation.
Fees are quoted in Singapore Dollars (SGD) unless otherwise stated.
Haroct reserves the right to revise fee structures with notice.
7. Payment Processing
Payments are processed via licensed third-party payment service providers, including Fiuu Singapore.
By transacting, Users agree:

That settlement timelines depend on payment processor cycles

That Haroct may withhold or delay settlement if fraud or compliance concerns arise
Chargebacks, reversals, or disputes may result in temporary suspension of payouts.
8. Purchase Conditions
By placing an order, Users agree to the applicable purchase terms displayed at checkout.
Alcoholic beverages, if offered, shall only be sold in compliance with Singapore laws and only to eligible business entities holding required licenses.
9. User Conduct
Users shall not:

Engage in unlawful or fraudulent activity

Circumvent platform payments

Use the platform to violate trade or export laws

Misrepresent Products or business status
Haroct reserves the right to investigate and take appropriate action.
10. Intellectual Property
All trademarks, logos, designs, content, and software belong to Haroct or its licensors.
Users may not reproduce or use intellectual property without prior written consent.

Haroct may:

Conduct transaction monitoring

Perform sanctions screening

Suspend accounts for suspicious activity

Report suspicious transactions to relevant authorities
12. Limitation of Liability
To the maximum extent permitted under Singapore law:
Haroct shall not be liable for indirect, incidental, special, or consequential damages.
Haroct’s total liability shall not exceed the total fees paid by the User to Haroct in the twelve (12) months preceding the claim.

Users agree to indemnify Haroct and its officers, directors, employees, and agents against any claims arising from:

Personal data is handled in accordance with Singapore’s Personal Data Protection Act (PDPA).
By using the platform, Users consent to data processing necessary for compliance, transaction processing, fraud prevention, and service improvement.
15. Termination
Haroct may suspend or terminate accounts where:

Terms are breached

Fraud is suspected

Regulatory risk arises
Users remain responsible for outstanding obligations prior to termination.
16. Governing Law & Jurisdiction
These Terms shall be governed by the laws of the Republic of Singapore.
Disputes shall be subject to the exclusive jurisdiction of the Singapore courts.
